PHYSICIANS, SURGEONS & HEALTHCARE CLAIMS-MADE MALPRACTICE BINDER

THIS CLAIMS-MADE PROFESSIONAL LIABILITY BINDER ("Policy") is issued by MEDPRO NATIONAL INDEMNITY CORP. ("Carrier") to DR. JORDAN REID, M.D. & PREMIER SURGICAL ASSOCIATES PLLC ("Named Insured") with limits of $1,000,000 Per Medical Incident / $3,000,000 Annual Aggregate (Annual Expiring Premium: $22,000).

ITEM 4. CLAIMS-MADE RETROACTIVE DATE ("PRIOR ACTS DATE") RESET TO INCEPTION.
This Policy applies ONLY to Medical Incidents that first occur on or after the Retroactive Date specified in Item 4 of the Declarations: NOVEMBER 1, 2026 (Policy Inception Date). No Prior Acts or Nose Coverage is provided under this Binder. Any claim, lawsuit, or board subpoena arising from surgeries, diagnoses, or patient care rendered by Named Insured during the preceding six (6) years of clinical practice prior to November 1, 2026 is 100% EXCLUDED unless covered under a separate purchased Extended Reporting Period (Tail) from the prior carrier.

SECTION V.B. FORCED SETTLEMENT AUTHORITY & 100% HAMMER CLAUSE (NO PURE CONSENT TO SETTLE).
Carrier may settle any claim or suit as Carrier in its sole discretion deems expedient. Although Carrier will consult with Named Insured prior to settling a claim that triggers a mandatory report to the National Practitioner Data Bank (NPDB) and State Medical Board, if Named Insured withholds consent to Carrier's recommended settlement, Carrier's liability is immediately capped at the recommended settlement figure, and Named Insured shall bear one hundred percent (100%) of all subsequent defense fees, expert witness costs, and any excess verdict above the proposed settlement.

SECTION VII. EXTENDED REPORTING PERIOD ("TAIL COVERAGE") PRICING & RETIREMENT WAIVER OMISSION.
Upon cancellation, non-renewal, or termination of employment for any reason, Named Insured may purchase an optional Unlimited Extended Reporting Period ("Tail") solely by delivering written election and paying a single lump-sum premium equal to two hundred fifty percent (250%) of the full undiscounted annual premium ($55,000 due in full within fifteen (15) calendar days of termination). This Policy contains NO free Tail waiver for Retirement, Permanent Disability, or Death.

SECTION II.A. DEFENSE COSTS AND DISCIPLINARY PROCEEDINGS "INSIDE THE LIMITS".
All legal defense fees, medical expert witness retainers, court costs, and investigation expenses incurred by Carrier in defending a claim are included "Inside the Limits" of Liability and directly erode the $1,000,000 Per-Incident limit available to pay judgments or settlements. State Medical Licensing Board, DEA, and Medicare/RAC billing audit defense is capped at a $10,000 aggregate sub-limit.

ENDORSEMENT MP-14. AESTHETIC LASER, MED-SPA, GLP-1 TELEHEALTH & MID-LEVEL SUPERVISION EXCLUSION.
This Policy does not apply to any claim arising out of: (a) elective cosmetic, aesthetic laser, IPL, microneedling, or med-spa procedures; (b) the prescribing, compounding, or telehealth administration of GLP-1 weight-loss medications or hormone replacement therapy; or (c) Named Insured's vicarious liability or collaborative supervision of any Physician Assistant (PA), Nurse Practitioner (NP), or CRNA unless separately scheduled and surcharged.
